Definitions

In these Standard Terms and Conditions of Sale (“Terms”), “Comit Plastic” or “COMIT” means Comit Plastic Pte Ltd, incorporated in Singapore, and its wholly owned subsidiaries and affiliates, where applicable. “Buyer” means any person or entity purchasing products from Comit Plastic.

All sales made by Comit Plastic are governed exclusively by these Terms. Upon Comit Plastic’s acceptance or acknowledgement of a Buyer’s purchase order, a binding contract is formed solely on the basis of these Terms, which are deemed incorporated into and form part of the contract. These Terms supersede and prevail over any prior, contemporaneous, or inconsistent terms contained in any purchase order, correspondence, catalogue, framework agreement, or other document issued by the Buyer. Any additional or conflicting terms proposed by the Buyer shall be deemed rejected and shall be of no effect unless expressly agreed in writing and signed by a duly authorised officer of Comit Plastic.

Prices and Quotations

All prices are subject to change without prior notice. Any price change shall not affect orders accepted and scheduled for delivery or shipment within thirty (30) days from the date of order acceptance.

 

For deliveries or shipments scheduled beyond thirty (30) days from order acceptance, prices shall be those published and in effect at the time of delivery or shipment.

 

Unless otherwise stated in writing, all quotations are valid for thirty (30) days from the date of issue, are subject to availability, and do not constitute an offer capable of acceptance without confirmation by Comit Plastic.

 

Prices are exclusive of taxes, duties, levies, freight, insurance, and other charges, all of which shall be borne by the Buyer unless otherwise agreed in writing.

Orders

All purchase orders are subject to acceptance by Comit Plastic. Comit Plastic reserves the right to reject any order in whole or in part at its sole discretion. The minimum order value is USD 100.00 or its equivalent in other currencies.

All orders are subject to approval of the Buyer’s creditworthiness. Comit Plastic may revise credit limits, require advance payment, suspend deliveries, or cancel outstanding orders at any time if the Buyer’s financial condition becomes unsatisfactory.

​Deliveries, Shipment and Collection

Delivery and shipment dates are estimates only and are based on the best information available at the time of quotation. Comit Plastic shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, pandemic, labour disputes, supply shortages, port congestion, transport disruption, governmental action, or supplier failure (“Force Majeure”).

Unless otherwise agreed in writing, risk of loss or damage to the products shall pass to the Buyer upon dispatch from Comit Plastic’s premises or upon handover to the carrier, whichever occurs first, regardless of whether freight is prepaid.

 

Local delivery may be provided at no charge for orders exceeding SGD 1,000.00 or its equivalent in other currencies. All other freight, handling, and insurance costs shall be borne by the Buyer.

For conversion, processing, or value-added services (including but not limited to cutting or slitting), a minimum notice period of five (5) working days is required unless otherwise agreed in writing by Comit Plastic. Failure to provide the required notice may result in delays, rescheduling, or additional charges, for which Comit Plastic shall not be liable.

The Buyer shall collect purchased products strictly in accordance with the agreed delivery schedule or, where applicable, as stated in the Buyer’s purchase order.

For blanket orders, products must be collected in accordance with the agreed schedule. Where no schedule is specified, all products must be fully collected within four (4) months from the purchase order date. Failure to collect may result in storage charges, invoicing of outstanding quantities, or disposal at the Buyer’s risk and expense.

Payment Terms

All invoices shall be paid in full by the due date stated on the invoice, without set-off, counterclaim, or deduction.

Overdue amounts shall accrue interest at one percent (1%) per month, calculated daily, or the maximum rate permitted under Singapore law, whichever is lower.

 

Comit Plastic reserves the right to suspend deliveries, withhold goods, or terminate the sale without liability if payment is overdue. The Buyer shall be responsible for all costs of recovery, including legal fees, collection charges, and administrative expenses.

Returns and Credits

No goods may be returned without prior written authorization from Comit Plastic. Only unused, unprocessed, undamaged, and non-obsolete products in original condition may be considered for return.

All returns are subject to inspection and approval by Comit Plastic. Any credit issued shall be at Comit Plastic’s discretion and may be based on the original invoice price or the price in effect at the time of return.

 

Comit Plastic reserves the right to deduct handling, inspection, restocking, refurbishment, depreciation, and all return transportation costs. Customized, converted, processed, or special-order products are strictly non-returnable.

Order Cancellations

Order cancellations are subject to prior written approval by Comit Plastic and, where applicable, the manufacturer.

Approved cancellations shall incur a cancellation charge of up to fifty percent (50%) of the invoice or order value to cover administrative, production, and procurement costs.

​

Orders for customized, converted, processed, or specially manufactured products are non-cancellable.

Specifications

All specifications and descriptions, including samples & technical data are provided for general guidance and are subject to change without notice.

Comit Plastic makes no representation or warranty regarding suitability for any particular purpose and assumes no responsibility for errors or omissions.

Warranty and Limitation of Liability

9.1    Warranty Scope

 

To the maximum extent permitted under Singapore law, Comit Plastic Pte Ltd (“Comit Plastic”) makes no warranty, whether express or implied, including but not limited to any implied warranties of merchantability, satisfactory quality, or fitness for a particular purpose under the Sale of Goods Act 1979 (Cap. 393 Singapore) or otherwise.

The Buyer bears sole responsibility for determining the suitability of the products for its intended use, application, processing, or end product.

​

Comit Plastic’s sole obligation and the Buyer’s exclusive remedy in respect of any defective products shall, at Comit Plastic’s option, be limited to:

​

  • the replacement of the defective products; or

  • the issuance of a credit for the invoiced value of the affected goods.

 

Under no circumstances shall Comit Plastic be liable for any indirect, incidental, special, or consequential loss or damage, including but not limited to loss of profits, loss of business, labour costs, processing costs, repair costs, transportation expenses, downtime, or any other economic or commercial loss, whether arising in contract, tort (including negligence), strict liability, or otherwise.

Comit Plastic’s total aggregate liability shall in all cases be limited to the net invoiced value of the products giving rise to the claim.

​

Any defect affecting part of a delivery or shipment shall not entitle the Buyer to cancel or terminate the remaining portion of the order or any related contract.

9.2    Warranty Exclusions

 

This warranty does not apply to products that have been misused, misapplied, altered, improperly stored, processed, or damaged due to negligence or intentional acts.

 

9.3    Inspection and Claims

 

The Buyer shall inspect products upon receipt. Any claim for damage, defect, or non-conformance must be submitted in writing within seven (7) days of delivery or shipment. Failure to do so constitutes full acceptance and waiver of claims.

Damaged goods shall not be returned until the carrier has been notified and inspections completed. All claims are subject to manufacturer approval where applicable.

 

9.4    Insolvency

 

Comit Plastic may, without prior notice and without prejudice to any other rights or remedies, immediately suspend or terminate any sale, delivery, or agreement if the Buyer becomes insolvent, bankrupt, enters into liquidation, judicial management, receivership, or any similar proceedings.

 

9.5    Authority and Amendments

 

Only duly authorized officers of Comit Plastic have the authority to amend or modify these Terms. No representation or agreement shall be binding unless made in writing and signed by an authorized officer.

9.6    Governing Law and Jurisdiction

 

These Terms and any sale or dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Singapore.

​

The parties submit to the exclusive jurisdiction of the courts of Singapore.
